Terms of Service

2. Acceptance

By creating an account, subscribing, or using the Service, you agree to these Terms and to the Privacy Policy. If you use the Service for an organisation, you confirm that you have authority to bind it.

3. The Service

Ilka is a web application that produces Excel workbooks. You can connect a client data source, approve a pack layout, and receive a scheduled .xlsx. You can also generate or improve a one-off workbook. In a locked client pack, figures are copied from the source in code. AI proposes layouts and drafts one-off workbooks. It does not write the figures in a locked pack. A Source check sheet recomputes totals in Excel. Features, connectors, and plan limits are described on the site and may change.

4. Accounts

Most features need an account. Sign-in is provided by our authentication provider. You are responsible for your credentials and for activity under your account. You must give accurate account information and keep it up to date.

5. Plans and generated files

Free, Pro, and Firm are described on the pricing page. The Licenses page explains how you may use generated files, including the Free one-client pack allowance and the commercial licence on Pro and Firm. If that page and these Terms conflict, these Terms control.

6. Fees, taxes, and cancellation

Prices are in US dollars and are billed monthly through Stripe. We do not store your full payment-card number. You can cancel in the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period and is not, by itself, a refund of that period. A refund request for a one-off template purchase can be sent from your account and is reviewed individually. Rights that cannot legally be waived still apply. TVA non applicable, art. 293 B du CGI. French VAT is not applicable, article 293 B of the French General Tax Code (CGI).

7. Acceptable use

You may not:

• Use the Service to break the law, infringe someone else’s rights, or commit fraud.
• Upload malware or attempt to disrupt, probe, or bypass the security of the Service.
• Resell raw access to the generator or present the Service as your own product.
• Connect data you do not have the right to use.
• Use the Ilka name or logo to imply that we endorse your work.

8. Your data

You keep your data. You must have a lawful basis to upload it or connect it. How personal data is handled is described in the Privacy Policy. For client books and spreadsheets you connect so we can build a pack, you are the controller and Yao Elom ESSAN acts as your processor. For your account, billing, support, and site analytics, he is the controller.

9. Intellectual property

The Service, the Ilka name, and the software stay with the publisher. Subject to the licence for your plan, you may use the workbooks you generate. You do not receive any right in our models, prompts, or product design beyond what these Terms allow.

10. Warranties

The Service and generated files are provided as is. One-off AI workbooks can contain errors. Scheduled packs copy figures from the source you connect. Review the Source check sheet before you rely on a file for tax, legal, or financial decisions. We do not warrant that the Service will be uninterrupted or that every connector will remain available.

11. Liability

To the extent the law allows, the publisher’s total liability for claims arising out of the Service in any twelve-month period is limited to the fees you paid for the Service during those twelve months. This cap does not limit liability that the law says cannot be limited.

12. Suspension and ending the contract

You may stop using the Service and cancel a paid plan at any time, with effect as described above. We may suspend or close access if you materially breach these Terms, if we must do so to meet the law, or if continued access creates a security risk. Provisions that should survive (including intellectual property, warranties, liability, and governing law) survive.

13. Changes

We may update these Terms. The date at the top of this page will change. If you keep using the Service after the update, you accept the updated Terms. If you do not agree, cancel and stop using the Service.

14. Governing law

These Terms are governed by French law. The courts of Paris, France, have jurisdiction, except where a mandatory consumer-protection rule gives you the right to bring a claim in the courts of your place of residence.
